This Affiliate Program Agreement (the "Agreement") constitutes a legally binding agreement between SOVASH ("Company," "we," "us," or "our") and you, the individual or entity participating in the program ("Affiliate," "you," or "your").

By submitting your application and participating in the SOVASH Affiliate Program (the "Program"), you confirm that you have read, understood, and agree to be bound by all terms outlined in this Agreement.

1. Enrollment and Acceptance

To enroll in the Program, you must complete the official application. We reserve the absolute right to approve or reject any application at our sole discretion. We may cancel your application if we determine that your platform is unsuitable for our Program, including if it:

• Promotes sexually explicit materials, violence, or illegal activities.
• Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Incorporates any materials which infringe or assist others to infringe on any copyright, trademark, or other intellectual property rights.
• Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or objectionable in our sole discretion.

2. Affiliate Responsibilities & Conduct

As an Affiliate, you agree to:

• FTC Disclosure: Clearly and conspicuously disclose your affiliate relationship with SOVASH in all promotions. This disclosure must appear before the affiliate coupon code and be immediately visible. Acceptable disclosures include #ad, #sponsored, or a clear statement such as: "As a SOVASH partner, I earn from qualifying purchases." This is a mandatory requirement for all US-based promotions.
• Honest Promotion: You must represent SOVASH products honestly and accurately. You may not make false, misleading, or unsubstantiated claims about the products or the Company.
• Brand Representation: You will not impersonate SOVASH or create any platform (website, social media page, etc.) that could lead customers to believe it is an official SOVASH channel.

3. Prohibited Promotional Methods

The following promotional methods are strictly prohibited. Engaging in these activities will result in immediate termination from the Program and forfeiture of all outstanding commissions.

• PPC Bidding: Affiliates may not bid on any keywords containing "SOVASH" or any variations or misspellings thereof in any pay-per-click (PPC) search engine campaigns (e.g., Google Ads, Bing Ads).
• Coupon Abuse: You may not promote your coupon code on any third-party coupon aggregator or "deal" websites. Your coupon is intended for you to share directly with your audience.
• Spam: You may not engage in any form of spamming, including unsolicited mass emails, social media messages, or comments.
• Adware/Spyware: You may not use any form of parasitic marketing, including adware, spyware, or forced clicks.

4. Commission and Payouts

• Commission Rate: You will receive a 15% commission (the "Commission") on the final order value of Qualified Sales. A "Qualified Sale" is a transaction made by a customer who successfully uses your unique, assigned coupon code at checkout for an eligible product.
• Eligible Products: Commission eligibility is currently limited to the SOVASH Advanced Collagen Deep Hydration Mask. We reserve the right to change product eligibility at any time.
• Verification Hold: All commissions are subject to a 30-day verification period (the "Hold Period") to account for customer returns, chargebacks, or suspected fraud. Commissions are not considered final or payable until after this Hold Period.
• Payout Schedule: Verified commissions will be paid out on a monthly basis.
• Minimum Payout Threshold: Payouts will only be processed once your verified commission balance reaches a minimum of $50.00 USD. Balances below this threshold will be carried over to the next month.
• Payment Method: Payouts are made via bank transfer (through Wise, Airwallex, or a similar service). You are responsible for providing and maintaining accurate payment information.
• Taxes: You are solely responsible for any and all tax obligations due on commissions earned through the Program.

5. Tracking and Qualified Sales

• Coupon Code Tracking ONLY: The SOVASH Affiliate Program tracks all sales exclusively through the use of your unique, assigned coupon code. We do not use affiliate links or cookie-based tracking.
• A sale will only be considered a Qualified Sale if the customer correctly enters your coupon code at checkout. If a customer fails to use the code, uses an incorrect code, or if the code is attributed to another affiliate, you will not receive a commission for that sale. We are not responsible for tracking or paying commissions for improperly coded sales.

6. Intellectual Property

We grant you a non-exclusive, non-transferable, revocable right to use the SOVASH logos, product images, and other brand assets provided to you in our creator toolkit for the sole purpose of promoting our products as an Affiliate. You may not alter, modify, or misrepresent these assets in any way.

7. Term and Termination

• This Agreement will begin upon our acceptance of your application and will end when terminated by either party.
• You may terminate this Agreement at any time by providing written notice to SOVASH.
• We may terminate this Agreement at any time, with or without cause, by providing you with seven (7) days' written notice. We may terminate this Agreement immediately, with no prior notice, if you breach any of the terms, particularly those related to prohibited promotional methods or affiliate conduct.
• Upon termination, you must immediately cease all promotional activities and remove all SOVASH brand assets from your platforms. Any verified, outstanding commissions above the minimum payout threshold will be paid in the next payment cycle.

8. Relationship of Parties

You are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf.

9. Disclaimers

• No Income Guarantee: We make no express or implied representations or warranties regarding the potential amount of income that may be generated from the Program. Earnings are not guaranteed.
• Limitation of Liability: We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages.

10. Modification

We may modify any of the terms and conditions in this Agreement at any time and at our sole discretion. We will notify you of any changes via email. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Program following the notification will constitute your binding acceptance of the change.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
